ARTICLE I

 

 

Name

 

The name of this association is the Parents for the Gifted and Talented ("PGT").

ARTICLE II

 

 

Purposes

 

The objectives of the association are:

  1. To promote the pursuit of excellence by children and youth in educational and social environments.
  2. To facilitate exchange of information and ideas among parents, teachers and administrators.
  3. To act as advocate for the special needs of the Gifted and Talented Students before the Board of Education and other relevant groups.
  4. To secure for parents, teachers and administrators assistance and education in responding to the academic and social needs of Gifted and Talented students.

ARTICLE III

Policies

The following are basic policies of this association:

  1. The association shall be noncommercial, nonsectarian and non-partisan, and shall be organized exclusively for educational purposes pursuant to Section 501(c)(3) of the Internal Revenue Code.
  2. The name of the association or the names of any members in their official capacities shall not be used in any connection with a commercial concern, or with any partisan interest or for any purpose not appropriately related to promotion of the objectives of the association.
  3. The association shall work with the school and school district to provide quality education for all children and youth and shall seek to participate in the decision making process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people to the Board of Education.
  4. The association may cooperate with other organizations and agencies concerned with child welfare, but persons representing the association in such matters shall make no commitments that bind the association.
  5. In the event of the dissolution of the association, its assets shall be distributed to one or more organizations exempt under Section 501 0 (3) of the Internal Revenue Code of 1954 as from time to time amended.

ARTICLE IV

Membership and Dues

Section 1

Membership in the association shall be made available to any individual who subscribes to the objectives and basic policies of the association without regard to race, color, creed or national origin.

Section 2

Only members in good standing of the association shall be eligible to participate in the business meetings.

Section 3

The membership year of this association shall be from October I through September 30.

Section 4

The association shall conduct an annual enrollment of members, but persons may be admitted to membership at any time.

Section 5

Each member of the association shall pay annual dues to be assessed by the Executive Board.

ARTICLE V

Officers and Their Election

Section 1

The administration of the association shall be by Executive Board, with each member entitled to one vote.

  1. The voting membership of the Executive Board shall be composed of the association's elected officers and up to two (2) elected representatives of each elementary, middle and high school in the district. Only members of the association shall be eligible to serve as elected voting members of the Executive Board.
  2. The general membership of the association shall be composed of all dues paying members of PGT.

 

Section 2

The elected voting membership of the Executive Board shall be elected by ballot at a General Membership meting during the months of May or the following September, October or November. The election of the Executive Board will be carried out in the following manner:

  1. The membership will be advised of the election not less than 30 days before said election. On or before that time a nominating committee, comprised of three Executive Board members, will have presented a slate of officers and school representatives. Further nominations will be accepted from the floor immediately prior to the election.
  2. The balloting will consist of each member of the association voting for officers and up to two (2) representatives from each school. The member receiving the most votes to represent each school shall be named as a member of the Executive Board for a term of two years.
  3. The elected members of the Executive Board shall assume their official duties at the close of the meeting at which they were elected.

 

Section 3

The Officers of the association shall be made up of a President, Vice President, Treasurer and Secretary. These officers may be, but are not required to be school representatives. The Officers shall be elected by a majority vote at the in May or at the following Fall membership meeting.

Section 4

Vacancies in voting membership of the Executive Board shall be filled by majority vote of the Executive Board.

ARTICLE VI

Duties of the Executive Board

Section 1

The duties of the Executive Board shall be to achieve the objectives of the association in a responsible manner including, but not limited to the following:

  1. Expression of policy;
  2. Initiation of fund raising programs;
  3. Financial expenditure.
These shall be by majority vote of the members of the Executive Board present and voting.

 

Section 2

A majority of the voting members of the Executive Board shall constitute a quorum. If a quorum is not present at a meeting, a telephone poll, conducted by the Secretary shall be considered acceptable.

Section 3

The duties of the Officers shall be:

  1. To execute the directives of the Executive Board as outlined in Section I of this Article;
  2. To transact necessary business in the intervals between Executive Board meetings and such other business as may be referred to it by any Executive Board member;
  3. Submit to the Executive Board for adoption a budget for the membership year;
  4. Approve routine expenditures within the limits of the budget approved by the Executive Board;
  5. Submit to the Executive Board requests for expenditures not included in the adopted budget.
These shall be by majority vote of the members of the Executive Board present and voting.

ARTICLE VII

Section 1

The President of the association shall preside at all meetings of the association, shall schedule and provide notification to officers of all meetings of the Executive Board, shall perform or appoint committees to perform such other duties as may be prescribed in these bylaws or assigned to him/her by the Executive Board; and shall coordinate the work of the Executive Board members and committees of the association in order that the objectives may be promoted.

Section 2

The Vice President of the Association shall act as aide to the President and shall, in their designated order, perform the duties of the President in the absence or inability of that officer to serve.

Section 3

The Secretary shall record the minutes of all meetings of the association; shall have a copy of the approved bylaws, and a membership list available at every meeting; shall conduct the general correspondence of the association as directed by the President, Executive Board or the association. The Secretary shall notify all Executive Board members of scheduled meetings.

Section 4

The Treasurer shall have custody of all funds of the association; shall keep an accurate record of receipts and expenditures; shall pay out funds in accordance with expenditures approved by a majority vote of the Executive Board. The Treasurer shall present a financial statement of accounts at every meeting of the association and at other times when requested by the Executive Board and shall make a full report at the General Membership meeting.

Section 5

All officers shall deliver to their successors all official material not later that ten days following the election of their successors.

ARTICLE VIII

Section 1

Meetings of the general membership shall be held a minimum of once per membership year as described in the Article governing the election of officers.

Section 2

The Executive Board shall meet:

  1. Monthly, on the fourth Monday September through May. Location and time of meetings to be determined by the officers.
  2. Within two months of the election of the officers;
  3. Within two months following the most recent General Membership meeting;
  4. Within one month of a request by three (3) members of the Executive Board, communicated to the President of the association.

ARTICLE IX

 

Amendment of these bylaws shall be by a two-thirds (2/3) vote of the Executive Board members present and voting.
